These Terms and Conditions ("Terms") govern your access to and use of the Ellibo cloud-based Software as a Service (SaaS) platform, website, applications, and related services available at www.ellibo.com. By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement. You are responsible for ensuring that your use of Ellibo complies with all applicable laws.

2. Our Services

Ellibo provides cloud-based business management software, including but not limited to:

• Point of Sale (POS)
• Inventory Management
• Kitchen Order Management (KOT/KDS)
• Customer Management
• Employee Management
• Reports and Analytics
• Tax and Billing Management
• Multi-Branch Management (where available)

We may modify, improve, or discontinue features at any time.

3. Account Registration

You agree to provide accurate and complete information while creating your account and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities performed through your account.

4. Subscription and Payments

Ellibo is offered through subscription plans.

• Subscription fees are payable in advance.
• Your subscription remains active until it expires or is cancelled.
• Failure to pay subscription fees may result in suspension or termination of your account.
• All applicable taxes are payable by the customer unless otherwise stated.

5. Customer Responsibilities

You agree to:

• Use Ellibo only for lawful business purposes.
• Maintain the confidentiality of your account credentials.
• Keep your business information accurate.
• Ensure that your employees and authorized users comply with these Terms.

You must not:

• Attempt to gain unauthorized access to the platform.
• Upload malware or harmful software.
• Reverse engineer or copy the software.
• Use the service for fraudulent or illegal activities.
• Interfere with the operation or security of Ellibo.

6. Customer Data

You retain ownership of the business data you upload into Ellibo, including products, customers, inventory, sales, purchases, reports, and other business records. You grant Ellibo permission to store, process, and transmit your data solely for providing and improving the services.

7. Data Backup

Ellibo performs reasonable backup procedures to help protect customer data. However, customers are encouraged to regularly export and maintain their own backups of important business information.

8. Data Security

We use commercially reasonable security measures to protect customer data. While we strive to keep your information secure, no online service can guarantee absolute security.

9. Service Availability

We aim to provide reliable service but do not guarantee uninterrupted or error-free availability. Temporary interruptions may occur due to maintenance, software updates, internet failures, third-party service outages, or circumstances beyond our reasonable control.

10. Third-Party Services

Ellibo may integrate with third-party services such as payment gateways, SMS providers, email providers, printers, accounting software, and other business tools. We are not responsible for the availability, performance, or security of third-party services.

11. Intellectual Property

Ellibo and all related software, source code, designs, trademarks, logos, documentation, and content are the intellectual property of Ellibo. Your subscription grants you a limited, non-exclusive, non-transferable, and revocable license to use the services during your active subscription. No ownership rights are transferred to you.

12. Suspension and Termination

We may suspend or terminate your account if:

• Subscription fees remain unpaid.
• You violate these Terms.
• Fraudulent, abusive, or unlawful activity is detected.
• Your use of the service threatens the security or stability of the platform.

You may cancel your subscription at any time. Upon termination, access to your account may be removed after a reasonable retention period. Customers are responsible for exporting their data before cancellation.

13. Disclaimer

Ellibo is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we do not guarantee that the service will always be uninterrupted, error-free, or suitable for every business requirement.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Ellibo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business, revenue, or data arising from the use of our services. Our total liability for any claim shall not exceed the subscription fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms limits any liability that cannot be excluded under applicable law.

15. Indemnification

You agree to indemnify and hold Ellibo harmless from any claims, damages, liabilities, losses, or expenses arising from your misuse of the services, violation of these Terms, or violation of applicable laws.

16. Changes to the Services

We may update, improve, modify, or discontinue any feature or functionality of the platform at our discretion. Where practical, we will provide notice of significant changes.

17. Changes to These Terms

We may revise these Terms from time to time. Updated Terms will be published on our website. Continued use of the services after the revised Terms become effective constitutes acceptance of the updated Terms.

18. Privacy

Your use of Ellibo is also governed by our Privacy Policy. Where you store personal data of your own customers, staff or suppliers in Ellibo, our Data Processing Agreement applies and forms part of these Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Tenkasi, Tamil Nadu, India, unless otherwise required by applicable law.
